China bridge · MENHU brand
MENHU means gateway. The brand under which we do the China bridge - both ways. From China to the Balkans we bring technology, factories, capital, expertise. From the Balkans to China we lead companies that want market entry, partners, JVs, distribution. The network is BOLV - direct Chinese partners we work with without intermediary agents. Technology partners in four sectors: AI digital twin platforms, AI for BIM and technical documentation, modular prefabrication, smart building and IoT. Two anchor people in Shanghai, local language on the ground, culture firsthand. Executive MBA at Donghua University Shanghai - not tourist-class China. Typical clients: Montenegro and regional construction firms wanting to import Chinese modular prefab, regional investors in BIPV and smart city tech, law firms running cross-border disputes with Chinese entities, ministries and development agencies in ME/SRB/BIH preparing Chinese mandates. Sectors covered: construction, prefab, BIPV/solar, smart city/IoT, AI/BIM, automotive (EV), tourism, industrial robotics. Active provinces: Shanghai, Beijing, Shenzhen, Guangzhou, Hangzhou, Chongqing, Suzhou, Tianjin - eight provinces with direct BOLV lawyers.

Per Chinese JV law (Foreign Investment Law of 2020) and EU corporate governance practice.
Technology licensing matters

Export control both ways (EU dual-use regulation, Chinese export control law). Dual-use technology assessment (military application, quantum cryptography, AI ethics).
BOLV network
Belt and Road Lawyers Vision - legal network giving access to local lawyers in 8 Chinese provinces (Shanghai, Beijing, Shenzhen, Guangzhou, Hangzhou, Chongqing, Suzhou, Tianjin). Faster DD on Chinese side, lower local legal service prices, continuity of communication without time difference through Shanghai coordinator.

Factory visit with engineer (mechanical, electrical, quality), production capacity audit (ISO 9001, ISO 14001, IATF 16949 for automotive), certificate check (CE, RoHS, REACH for EU market), supply chain risk assessment (rare earth dependencies, geopolitical risks), capacity check (lead time, MOQ, scalability). Typically 2-4 factories per mandate with written report 30-60 pages.
ESG verification of Chinese partners for EU clients
EU CSRD directive requires ESG verification of supply chain partners. We do on-site ESG audit of Chinese suppliers: Scope 1/2/3 emissions, worker conditions (forced labor screening - especially for Xinjiang cotton, cobalt batteries, polysilicon), governance practice (anti-corruption, transparency), supply chain due diligence per EU Corporate Sustainability Due Diligence Directive (CSDDD). Cooperation with specialized ESG audit firms (SGS, Bureau Veritas, TÜV) for formal certification.

Compliance with Chinese Foreign Investment Law of 2020. Special expertise in sectors where Chinese capital is active in Adria region - BIPV/solar, EV charging, smart city, hospitality.
How we work
- Briefing - 60 minutes. What you're looking for, geographic scope in China, project phase, budget. NDA signed before entering materials. We assess whether your opportunity is realistic in the Chinese context - we often save the client 3-6 months of wasted work.
- Mapping - Within 14 days: list of 5-10 potential partners, profiles (registration, ownership, financials, references), first contact made, interest signal noted. Chinese partners aren't found by LinkedIn search - we use BOLV and Donghua networks.
- Negotiations & due diligence - Travel to China as needed (typically 7-10 days). Negotiations with local language presence - always in Chinese with consecutive translation for our clients. Partner DD (SAIC registration, financial statements at State Administration of Industry, references, court proceedings in China Judgments Online, ownership via Tianyancha). Contract draft with bilingual review (Chinese + English/Serbian).
- Close & support - Contract signing - always in two versions with prevalence clause. Implementation (JV registration at MOFCOM, certificates at CCC/CE, import/export papers, ICP license). Continuous support 6-12 months until stabilization - included in initial price.

Why Schule
Direct partners, not agents
Four direct Chinese partners in technology sectors (BIPV, AI/BIM, prefab, smart city). We don't work through trade agencies that take 15-25% margin - with us the client buys at factory price.
BOLV legal network in 8 provinces
Belt and Road Lawyers Vision - direct access to local Chinese lawyers in Shanghai, Beijing, Shenzhen, Guangzhou, Hangzhou, Chongqing, Suzhou, Tianjin. Partner DD on the ground in 5-10 days, not 6-8 weeks through Hong Kong intermediaries.
Mandate of the Women's Body of the Chinese Chamber of Commerce
Kristina as member of the Women's Body of the Chinese Chamber of Commerce in Montenegro. Official channel of communication with the Chinese embassy, cultural center, Chinese delegations. Faster resolution of visas, certificates, official meetings.
Donghua University MBA network in Shanghai
Radovan as alumnus of the Donghua MBA program. Network of 50+ contacts in Shanghai companies (Sinopec, Shanghai Industrial, Donghua-affiliated firms). A network not bought via LinkedIn premium - built through an Executive MBA program.
Two anchor people in Shanghai
Permanent on-the-ground presence - negotiation coordination, accompanying the client to meetings, cultural bridge, urgent question resolution in Chinese time (UTC+8). Client doesn't call at 3am - our person in Shanghai works local hours.
Bilingual contracts with legal co-review
All contracts are written in two versions (Chinese + English/Serbian) with prevalence clause. Chinese lawyer (BOLV) and European lawyer (Schule + partner) co-review before signing. Preventing 'lost in translation' risk that kills 30% of China-EU JVs.
Technology sector focus
We don't work every industry. Focused on BIPV/solar, prefab/modular construction, AI/BIM, smart city/IoT, EV/charging. In these sectors we have direct factory contacts, know market prices, see quality differences between manufacturers. In other sectors we recommend specialists.
Questions about the China bridge
- Do you speak Chinese?
- We have a translator and local language on the ground via the Donghua MBA network and anchor people in Shanghai. Negotiations in Chinese - always. Legal documents bilingual (Mandarin + English/Serbian). Kristina and Radovan continuing the Donghua program for personal-level Mandarin.
- Is the Chinese partner reliable?
- Direct partner DD - registration at SAIC (State Administration for Industry and Commerce), financial statements via Tianyancha, references, court proceedings in China Judgments Online, ownership structure, ICP license, sanctions list (US OFAC, EU CFSP). BOLV lawyer verifies on the ground. We don't work with unvetted partners.
- What if the deal falls apart?
- JV contract has exit clauses from day one - drag-along, tag-along, ROFR (Right of First Refusal), put/call options. You don't enter a structure you can't exit. As for success fee - we don't get paid for transaction failure.
- Can you bring us a Chinese investor in Montenegro?
- Yes. Trade & investment promotion mandate for specific sectors (tourism, prefab, BIPV, smart city, EV). Already brought contacts in prefab, BIPV, tourism. We follow investment delegations from CCPIT (China Council for the Promotion of International Trade) and private Chinese family office structures.
- How long is JV setup?
- Mapping 14 days. Negotiations 1-3 months. Legal registration 2-4 months (MOFCOM, SAIC, local permits). Total 3-7 months from start to operational JV. Technology sourcing without JV (classical purchase) 2-4 months.
- Can Schule lead us into the Chinese market?
- Yes. Typical approaches: (1) technology sourcing from China for our market - fastest path, 2-4 months. (2) Entry into Chinese market as seller of product/service - more complex, 6-12 months, requires local structure. (3) JV with Chinese partner for joint project in a third country - 3-7 months. (4) Attracting Chinese investor into your Montenegro project - 4-9 months. Exact path chosen in 60-min briefing.
- What is BOLV and why does it matter?
- BOLV (Belt and Road Lawyers Vision) is a legal network of Chinese law firms founded 2017 in Shanghai, with member firms in 8 Chinese provinces. Specialized in international contracts, IP, FDI, joint ventures. The Schule MENHU brand is formal partner of the BOLV network in the Adria region. BOLV access means faster partner DD, contracts under Chinese law with EU co-review, local legal support in Chinese provinces without Hong Kong/Singapore intermediaries.
- How much does a Chinese mandate cost?
- Briefing free. Mapping and first negotiations from 8,500 EUR. Complete JV setup (DD + contracts + registration) from 18,000 EUR plus BOLV legal costs (typically 4,000-12,000 EUR). Technology sourcing 2-5% of transaction as success fee + fixed portion. Trade mission from 3,500 EUR + travel.
- How do you handle sanctions risk and geopolitical tensions?
- Screening of all partners through US OFAC, EU CFSP and UN sanctions lists before mandate acceptance. Special attention to sectors with elevated risk (rare earths, dual-use technology, advanced semiconductors, surveillance equipment). We transparently present geopolitical risks to the client and how they are mitigated. We don't accept sanctioned entities even through intermediaries. EU Export Control Regulation 2021/821 compliance in all dual-use technology mandates.
- What about legal disputes - where do we arbitrate?
- Standard for sino-foreign disputes: ICC arbitration seated in Singapore or Hong Kong, governing law English or Swiss (neutral). Local Chinese courts are avoided for foreign clients due to unreliability and protectionism risk. For smaller disputes (up to 5M EUR) CIETAC (China International Economic and Trade Arbitration Commission) is an acceptable alternative. BOLV lawyers have experience in all listed forums.
- What should a client prepare before our conversation?
- Brief description: what you're looking for (technology/partner/capital/market), from which industry, budget range, timeframe. Existing Chinese contacts if any (even loose contacts have value). NDA signed before entering materials. Willingness to travel to China in first 6 months of mandate - without travel most Chinese mandates fail (Chinese insist on face-to-face before significant commitments).
- Delivery format for Chinese mandates?
- Mapping report: written document 15-30 pages with list of 5-10 potential partners, profiles, first contacts. JV contract: bilingual (Chinese + English/Serbian) PDF with prevalence clause, typically 30-60 pages with exhibits. Trade mission report: 20-40 pages with factory visit documentation, photos, negotiation summary, recommendations for next phase. All versions with short executive memo 2-4 pages for owner/management.
- Confidentiality and NDA practice with Chinese partners?
- NDA signed with all parties before material exchange. Chinese NDA standard is less strict than EU/US - we add EU/Swiss governing law clauses for dispute resolution. Technical documentation shared on need-to-know basis, with watermarking and revision history. Biggest risk isn't formal NDA breach but reverse engineering after showing prototype - we advise non-public IP protection before first technical conversation.
